We are looking for a skilled Legal Counsel to join our team and provide expert legal guidance. You will play a pivotal role in supporting our investment activities, managing legal risks, and ensuring compliance with relevant laws and regulations. You will work closely with our investment team, portfolio companies, and external legal partners to provide sound legal advice and solutions.

Core areas of responsibility:

• Transactional Support: Draft, review, and negotiate a wide range of agreements related to investments, including term sheets, subscription agreements, shareholder agreements, and convertible note documents.
• Due Diligence: Conduct legal due diligence on potential investments, reviewing and assessing legal risks, contractual obligations, intellectual property rights, and regulatory compliance.
• Legal Advisory: Provide accurate and timely legal advice on a wide range of legal matters related to venture capital investments, intellectual property, regulatory compliance, and other relevant areas (jurisdictions: Ukraine, Poland, Estonia, Cayman Islands).
• Contract Management: Maintain and manage a repository of legal templates, contracts, and other documentation to streamline processes and ensure consistency in legal practices.
• Corporate Governance: Provide guidance on corporate governance matters for portfolio companies, including board meetings, shareholder resolutions, and corporate restructuring.
• Regulatory Compliance: Stay updated on relevant laws, regulations, and industry trends to ensure compliance with securities laws, anti-money laundering regulations, and other legal requirements.
• Risk Management: Identify and mitigate legal risks associated with investments and operations, and develop strategies to protect the interests of the firm and its portfolio companies.
• Collaboration: Collaborate with external legal counsel, internal teams, and portfolio companies to provide timely and accurate legal advice and support.

Requirements:

• Master of Law.
• Native Ukrainian language, advanced English.
• Proven track record in venture capital, private equity, corporate law, or related fields.
• Strong understanding of securities laws, investment structures, and corporate finance.
• Excellent drafting, negotiation, and communication skills.
• Attention to detail and a strong analytical mindset.
• Experience with international transactions and cross-border legal matters.
